1. Introduction and agreement to the terms
These Terms of Service (the "Terms") apply to your access to and use of the website at qaisi.dev (the "Website") and, except where a separate signed agreement says otherwise, to the services we provide. By using the Website you agree to these Terms. If you do not agree, please do not use the Website.
These Terms govern the Website itself. The specific terms for a paid engagement are set out in the proposal, quotation, statement of work or contract you sign with us (see section 5).
2. Who we are
The Website is operated by QAISI TECH LTD, registered in England and Wales (company number: 17299174), registered office at Office 1487, 60 Tottenham Court Road, Fitzrovia, London, United Kingdom, W1T 2EW. You can reach us at [email protected].
3. Eligibility and authority
You must be at least 18 years old (or the age of majority where you live, if higher) to use the Website or engage our services. If you use the Website or enter into an agreement on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation to these Terms and to any project agreement.
4. Description of our services
Qaisi provides digital product and technology services, which may include: cybersecurity assessments, web development, application development, software engineering, e‑commerce and marketplace builds, automation and AI integration, graphic and brand design, and business and technology consulting. The exact services, deliverables, timelines and prices for any engagement are defined in the relevant project agreement, not on this page.
5. Relationship between these Terms, proposals and contracts
For a paid engagement, we typically issue a proposal, quotation or statement of work ("SOW"). Where you and Qaisi sign a separate project agreement, and there is any conflict between that agreement and these Terms, the signed agreement prevails for that engagement. These Terms continue to apply to your general use of the Website.
6. Client responsibilities
To deliver work effectively we rely on you to cooperate reasonably, including to:
- provide timely feedback, approvals and decisions;
- supply the content, access, credentials and materials we reasonably need;
- nominate a person authorised to approve work and incur costs; and
- comply with applicable laws in connection with the project.
7. Accuracy of information, scope and change requests
You are responsible for the accuracy and completeness of information, content and instructions you give us. The agreed scope is defined in the project agreement. Work outside that scope (a "change request") may affect timelines and fees and will be handled as agreed in writing before the additional work begins.
8. Fees, invoices, taxes and deposits
Fees, payment milestones, currencies and any deposit are set out in the applicable proposal, quotation or SOW. Unless that document states otherwise:
- quoted fees exclude applicable taxes, which are added where required by law;
- a deposit may be required before work begins; and
- invoices are payable by the date stated on the invoice.
Specific deposit percentages and payment timeframes are confirmed in your project agreement.
9. Late payment and suspension of services
If an undisputed invoice is overdue, we may, after giving you reasonable notice, suspend work and withhold deliverables until payment is received. Any late‑payment charges or interest only apply where they are stated in the applicable project agreement and permitted by law.
10. Refunds and cancellation
Fees for work already performed are non-refundable. Where a project is cancelled by the client after work has commenced, fees are due for all work completed to the cancellation date, plus any costs already committed on the client's behalf. Specific arrangements may be agreed in the project contract, which takes precedence over this clause.
The full rules are in our Refund Policy.
11. Intellectual property
Our pre‑existing materials. We retain all rights in the tools, frameworks, libraries, components, know‑how and other materials we owned or developed before, or independently of, your project ("Qaisi Materials"). Where Qaisi Materials are embedded in a deliverable, we grant you a non‑exclusive licence to use them as part of that deliverable.
Final deliverables. Ownership or licensing of the final deliverables is set out in your project agreement and, unless that agreement states otherwise, typically transfers to you upon full payment, excluding Qaisi Materials and third‑party components.
12. Client‑provided content, assets and trademarks
You retain ownership of the content, data, logos, trademarks and other assets you provide. You grant us the licence needed to use them to perform the services. You confirm you have the rights to provide those materials and that our agreed use of them will not infringe a third party's rights.
13. Open‑source and third‑party software
Deliverables may include open‑source or third‑party software that is licensed under its own terms. Those terms govern your use of those components. We will use reasonable care in selecting such components but do not own them and cannot grant rights beyond their licences.
14. Confidentiality
Each party may receive confidential information from the other. Each party agrees to use the other's confidential information only to perform or receive the services, to protect it with reasonable care, and not to disclose it except to people who need it and are bound by similar obligations, or where disclosure is required by law.
15. Security testing authorization
Cybersecurity testing (for example, vulnerability assessments or penetration testing) is performed only against systems for which you have given us specific, written authorisation and which you own or are lawfully entitled to have tested. Before any testing we agree the scope, targets, timing and rules of engagement in writing.
16. Acceptable use and prohibited conduct
You agree not to misuse the Website or our services. In particular, you must not:
- ask us to test, access or attack systems you do not own or are not authorised to test;
- use our services for unlawful, fraudulent or harmful purposes;
- attempt to gain unauthorised access to the Website, its server or related systems;
- introduce malware, attempt to disrupt the Website, or scrape it in a way that harms its operation; or
- infringe the intellectual property or privacy rights of others.
17. Third‑party websites and services
The Website and our deliverables may link to or rely on third‑party websites and services that we do not control. We are not responsible for their content, availability or practices, and your use of them is at your own risk and subject to their terms.
18. Website availability
We aim to keep the Website available but do not guarantee uninterrupted or error‑free access. We may modify, suspend or discontinue parts of the Website at any time without liability to you for doing so.
19. Warranties and disclaimers
We provide our services with reasonable skill and care. Except as expressly stated in a signed project agreement and to the extent permitted by law, the Website and its content are provided "as is" and "as available", and we disclaim implied warranties such as merchantability, fitness for a particular purpose and non‑infringement. Nothing in these Terms excludes liability that cannot lawfully be excluded.
20. Limitation of liability
To the maximum extent permitted by law, Qaisi will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Website. Our total liability arising out of or relating to the Website is limited to the amount you paid us, if any, for the relevant services.
21. Indemnification
You agree to indemnify Qaisi against reasonable losses and costs arising from your breach of these Terms, your misuse of the Website, or content or instructions you provide that infringe a third party's rights, except to the extent caused by our own breach or negligence.
22. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, war, civil unrest, labour disputes, failures of utilities or telecommunications, or acts of government.
23. Termination and its consequences
You may stop using the Website at any time. We may suspend or end your access to the Website if you breach these Terms. Termination of a paid engagement is governed by your project agreement. On termination, amounts due for work performed remain payable, and each party returns or deletes the other's confidential information on request, subject to legal retention requirements.
24. Export controls, sanctions and trade restrictions
You agree to comply with applicable export‑control and sanctions laws and confirm that you are not located in, or acting on behalf of, a country or party subject to comprehensive sanctions that would make our provision of services unlawful.
25. Governing law and dispute resolution
These Terms are governed by the laws of England and Wales. Before starting formal proceedings, the parties will attempt in good faith to resolve any dispute informally by contacting [email protected]. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of England and Wales.
26. Changes to these terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Website after changes take effect means you accept the updated Terms.
27. Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with any documents they reference and any signed project agreement, form the entire agreement between you and Qaisi regarding the Website. In case of conflict, a signed project agreement prevails for that engagement, then these Terms.
28. Contact and effective date
Questions about these Terms can be sent to [email protected]. These Terms are effective as of the "Last updated" date shown above.
